Provision of Service

For purposes of these Member Service Terms and Conditions, TVBS Inc. is a transaction intermediary engaged in the facilitation of the consolidated billing of employee benefits accounts through access to our electronic account service (the "Service"). You can use the Service to manage, by remote access, your benefit accounts, and to post data and otherwise maintain the information relating to your accounts. TVBS Inc. may periodically and without notice to you change the Service features and functionality.

Privacy

We will never knowingly disclose your personal information or data to any third party.

Liability

TVBS Inc. is not liable for the truthfulness or validity of any data submitted to or intermediated through the Service. Any damages that you may inflict on an individual or another organization through the submission of fraudulent or false information is entirely a legal matter between you and such individuals or organization(s).

The Service may be temporarily interrupted or curtailed due to equipment modifications, upgrades, relocations, repairs and other similar activities necessary to the operation and upgrade of a web site. Temporary disruptions of network connectivity may occur from time to time. We will not be liable for interruption or delays in transmission or errors or defects in transmission or failure to transmit when caused by any Internet backbone provider. No reduction of payments will be made in the case of temporary interruption of the Service.

(INCLUDING ITS EMPLOYEES, DIRECTORS, AND AGENTS) BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DAMAGES WHATSOEVER (INCLUDING WITHOUT LIMITATION ANY SPECIAL, DIRECT, INDIRECT, OR CONSEQUENTIAL DAMAGES, AND DAMAGES RESULTING FROM LOSS OF USE, DATA, OR PROFITS, OR BUSINESS INTERRUPTION) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SERVICE OR THE MATERIAL (AS DEFINED AT “OWNERSHIP OF MATERIAL”), EVEN IF TVBS Inc. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN CATEGORIES OF DAMAGES AND AS A RESULT, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH STATES, THE LIABILITY OF TVBS Inc. Indemnification

You are responsible and agree to indemnify and hold TVBS Inc., its subsidiaries, affiliates, officers, agents, partners and employees harmless from any and all claims made by others that arise from or are related to the use of this site, the use of the Service or your breach of these Member Service Terms and Conditions. This includes, without limitation, losses, liabilities, claims, damages and expenses, including reasonable attorney’s fees and costs of litigation. We reserve the right, at our own expense, to assume the exclusive defense against such claims, but that does not remove your obligations.

Jurisdiction; Miscellaneous
